Terms of Service

These terms govern the Twilon website and Parsium demonstrations, free trials, recurring subscriptions, software licenses, and support.
1. Scope and acceptance
These Terms of Service ("Terms") apply to your use of twilon.com, product demonstrations and trials, Parsium subscriptions, software, documentation, onboarding, and support (collectively, the "Services"). By using the website or accepting Services, you agree to these Terms and our Privacy Policy.
A paid subscription begins when the parties accept an order form, online order, or other written purchase confirmation. If an accepted order form conflicts with these Terms, the order form controls for that subscription.
If you accept Services for an organization, you represent that you have authority to bind that organization. The Services are intended for business users who are at least eighteen years old.
2. Subscription plans and license
Parsium is offered through Starter, Professional, and Enterprise subscription plans. Starter and Professional are priced per assigned user. Enterprise pricing and included services are stated in the applicable order form.
During an active subscription and subject to these Terms, Twilon grants the customer a limited, non-exclusive, non-transferable right for authorized users to access and use Parsium for the customer's internal business purposes. Features and support levels depend on the purchased plan.
The subscription does not include a Salesforce license, OpenRouter account, AI model usage, or another third-party service unless an order form expressly says otherwise.
3. Customer accounts and responsibilities
You will maintain accurate account and billing information, assign access only to authorized users, and promptly remove access when a user no longer needs it. User licenses may not be shared or used concurrently by multiple people.
You are responsible for your Salesforce environment, permissions, backups, change-management process, OpenRouter and model-provider accounts, data classification, and the legality and accuracy of the data and instructions submitted through Parsium.
4. Free trials
Eligible Starter and Professional customers may receive a thirty-day free trial without providing a credit card. A trial is for evaluation, may be limited to one per customer, and may end earlier if the customer begins a paid subscription.
A no-card trial does not automatically become paid. Continued access after the trial requires an accepted paid order. Trial features, support, and availability may differ from a paid subscription.
5. Fees, billing, and renewal
Published Starter pricing is $29 per user per month when billed monthly or $300 per user per year when billed annually, equivalent to $25 per user per month. Published Professional pricing is $45 per user per month when billed monthly or $456 per user per year when billed annually, equivalent to $38 per user per month. Enterprise pricing is custom. Applicable taxes are additional.
Unless an order form states otherwise, paid subscriptions renew automatically for another period of the same length at the then-current price. You authorize Twilon or its payment provider to charge the payment method on file. Twilon will use commercially reasonable efforts to send an annual renewal reminder at least fourteen days before renewal.
Twilon may change published subscription prices with at least thirty days' notice. A price change applies at the next renewal and does not change an active paid billing period.
Salesforce, OpenRouter, AI model, hosting, and other third-party charges are separate. You are responsible for accounts and charges billed by those providers.
6. Plan, seat, and billing changes
Additional user licenses or plan upgrades may be added during a billing period and may be charged on a prorated basis. Plan downgrades and seat reductions normally take effect at the next renewal, subject to the purchased plan's minimums and an accepted order form.
Cancellation and refund eligibility are governed by the Refund & Cancellation Policy and any non-waivable rights under applicable law.
7. Intellectual property and customer data
Twilon and its licensors retain ownership of Parsium, the website, software, methods, templates, documentation, trademarks, know-how, and related intellectual property. The subscription grants access rights only and does not transfer ownership.
You retain ownership of your Salesforce data, documents, prompts, business rules, and other materials supplied through the Services. Twilon receives only the limited rights needed to provide, secure, and support the Services.
If you provide suggestions or feedback, Twilon may use them to improve its products and services without identifying you or disclosing your confidential information.
8. Confidentiality
Each party will protect the other party's non-public business, technical, security, and account information using reasonable care. It may be disclosed only to personnel and service providers who need it to provide or receive the Services and are bound by confidentiality obligations.
Confidentiality obligations do not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, rightfully received from another source, or required to be disclosed by law.
9. AI output and human review
AI output is probabilistic and may be incomplete, inaccurate, or misleading. You are responsible for reviewing and approving extracted values, summaries, recommendations, and other AI output before relying on it or saving it to Salesforce.
Do not use unverified AI output as the sole basis for legal, medical, financial, employment, safety, regulatory, or other consequential decisions.
10. Third-party services
Parsium may interoperate with Salesforce, OpenRouter, and selected AI model providers. Those services are governed by their own agreements and may change independently of Twilon.
Twilon is not responsible for third-party outages, policy changes, model behavior, or data-handling practices. You are responsible for reviewing and accepting the terms that govern accounts and services under your control.
11. Security and acceptable use
You will safeguard credentials, API keys, recovery codes, payment details, and administrator access. You will promptly report suspected unauthorized access connected to the Services.
- Do not use the Services unlawfully or process content you do not have authority to use.
- Do not interfere with security or operation, attempt unauthorized access, or bypass license, plan, or access controls.
- Do not reverse engineer protected Twilon components except where applicable law expressly permits it.
- Do not remove proprietary notices, resell access without written authorization, or use Twilon materials to build a competing offering.
12. Availability and product changes
Twilon may improve, update, or modify the Services. Twilon will not materially reduce the core functionality of a paid plan during an active subscription term without providing a reasonable alternative, credit, or termination option where appropriate.
Maintenance, security events, Salesforce changes, provider outages, and circumstances beyond reasonable control may affect availability. Twilon does not promise uninterrupted operation.
13. Warranties and disclaimers
Twilon warrants that it will provide paid Services in a professional manner and that Parsium will materially perform as described in the applicable documentation when used in a supported environment.
Except for express commitments in these Terms or an order form, the website, trials, software, documentation, AI output, and third-party-dependent functionality are provided "as is" and "as available." Twilon does not guarantee error-free AI output, uninterrupted third-party services, or a particular business result.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from the Services.
Unless an order form states a different limit, Twilon's aggregate liability arising from the Services will not exceed the subscription fees paid to Twilon for the affected Services during the twelve months before the event giving rise to the claim.
15. Indemnification
You will defend and hold Twilon harmless from third-party claims, losses, and reasonable costs arising from customer data, unlawful use, violation of these Terms, or infringement caused by materials you provide. Twilon may participate in the defense, and no settlement may impose an obligation on Twilon without its written consent.
16. Cancellation, suspension, and termination
You may cancel a subscription at any time. Unless the Refund & Cancellation Policy or applicable law provides a refund, cancellation stops the next renewal and access continues through the current paid period.
Twilon may suspend access for nonpayment, a security risk, unlawful use, or a material breach. When practical, Twilon will provide notice and an opportunity to cure. Either party may terminate for an uncured material breach.
Upon expiration or termination, subscription access ends and unpaid amounts remain due. Confidentiality, intellectual property, payment, disclaimer, indemnification, dispute, and liability provisions survive where their nature requires it.
17. Governing law and dispute resolution
Unless an order form states otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Before starting formal proceedings, the parties will attempt in good faith to resolve a dispute through written notice and negotiation for thirty days. Unresolved disputes will be submitted to final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with one arbitrator, a seat in Wilmington, Delaware, and proceedings in English.
Each party may bring claims only in its individual capacity and waives participation in class, consolidated, or representative proceedings. To the extent permitted by law, each party also waives trial by jury.
18. General provisions
These Terms, the applicable order form, and referenced policies form the agreement for the Services. Neither party may assign an order without the other party's written consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets.
Neither party is responsible for delay caused by events beyond reasonable control. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver.
19. Changes and contact
Twilon may update these Terms by posting a revised version and effective date. Material changes to active paid subscriptions will apply no earlier than the next renewal unless required for law or security.
